INSTITUTIONAL PROTOCOL AND RULES OF PROCEDURE

preamble  

The Senate of Economy is ideologically and politically neutral. It is not aimed at making profits and surpluses and is committed to the goals of the European Union, the United Nations with all its sub-organizations, the Global Compact and the goal of a Global Marshall Plan. From a European perspective, one of the most important goals is to promote European integration and the further development of the European Union as an economic and peace community. In this sense, the tasks also include supporting the EU Commission and the EU Parliament and their elected representatives.  

Against this background, an authority at the European level with the orientation of the Senate of Economy as a contact for political actors and Europe-wide operating personalities from business and science is expedient. With this goal, the  

Senate of Economy Europe  

founded and constituted as follows:  

1 Legal Status  

The Senate of Economy Europe is a division of the Senate of Economy International, pursuant to Article 9 and for the purposes of Article 5.1  

By signing this protocol, the board of the Senate of Economy International constitutes the structure Senate of Economy Europe and lists the signatories as founding members.  

2 goals  

Like the Senate International, the Senate of Economy Europe represents the conviction that personalities in business can be a driving force for freedom, peace, justice, ethics, sustainable development and culture in Europe and the whole world are. This potential needs to be activated even more. This requires constant reflection on the role of business in our society. Economy must be thought of holistically and constantly reconciled with all other sectors of society in order to produce the best possible effect.  

From the perspective of the Senate of Economy Europe, the market economy opens up enormous possibilities for shaping the future. Therefore, the economy and personalities in the economy have a special responsibility for sustainable development and thus, in addition to economic, also for ecological and social issues of coexistence.  

Europe is an important part of the world and has a special responsibility for the future of the earth. This is where the “operating system” of the modern world was invented. Here, after the Second World War, it was shown that states, including formerly hostile states, can work together closely and supranationally and that peace is possible. It was shown here that states can voluntarily surrender sovereignty rights to a superordinate structure. Europe is the part  in the world who has achieved a particularly high level of social balance. There are well-developed approaches to an eco-social market economy, a green and inclusive economy.  

We see the Senate of Economy Europe  

  • as a community of people from business, science, politics, media and civil society who think responsibly throughout Europe, who learn from one another via a cross-sectoral and Europe-wide network and contribute to the economy and all other sectors of society mutually enriching each other and creating a future-proof balance among themselves be able;  

  • as an institution that gives broad support to political actors in the interest of the common good. This is done by developing approaches to solutions to the pressing issues facing society and the economy, and in particular by promoting practical implementation, above all in Europe, but also beyond. This is done from the perspective of an ecological and social market economy / a green and inclusive economy.  

  • as an institution that is committed to the European project. Our goal is the further development of the EU, also in the direction of fiscal union. Under suitable conditions, this also includes financial transfers between member states.  

  • as a new form of an "integrated think tank oriented towards the common good" in which innovative concepts from different areas can be brought together and further developed together; thus an institution that lives plurality and respects different approaches in a result-oriented manner.  

  • as an organization oriented towards the common good that deliberately does not represent any particular interests (which is entirely permissible and is adopted by others). In contrast, our mission is the common good, whereby the Senate is convinced that a functioning market economy is the form of organization that is best able to promote the common good. Coming from this mission, the Senate offers politics concepts in the sense of a global eco-social market economy and makes the competence and experience of its members available to all political and social forces.  

  • as a community that is supported by the idea of common values in corporate management and in relation to social issues.  

 

The guiding principle for the Senate of Economy is: Economy – for people  

3. Rules of the Constitution  

The constitution through this founding protocol serves the purpose of gathering experience with the development of a European organization in the sense of the objective according to §2. Experience will show whether it is possible to set up member organizations in other European countries, comparable to the Senate of Germany and Austria, or whether the Senate of Economy Europe will develop in some other way, for example as a think tank committed to the common good.  

With this in mind, a temporary constitution is determined as a structure. The necessary rules for compliance and transparency are guaranteed by the Senate of Economy International and its committees.  

After three years at the latest, the committees of the Senate of Economy International, in coordination with the officials of the Senate of Economy Europe, should decide on a continuation of the Senate of Economy Europe and then on the final form and work.  

The legal requirements for a structure or corporation must then be created accordingly.  

By this time, a statute has to be drawn up with the necessary mechanisms for compliance and transparency as well as democratic structures, in accordance with the task and membership structure. This applies in the event of a continuation, be it as a think tank, as a member organization or as an umbrella for independent country organizations in Europe.  

4 bodies  

4.1 Board of Directors  

The executive committee consists of a president, a vice president and other members of the executive committee.  

The executive committee formulates and stands for the goals of the Senate of Economy Europe, which are developed together with the board and the representatives of the member senates and senate groups.  

The members work on an honorary basis, compensation for expenses can be granted.  

4.2 Board of Directors  

The board consists of a chair, one other board member and the board of the Senate of Economy International.

4.3 The governing bodies are appointed by the board of the Senate of Economy International in consultation with the President of the Senate of Economy International.

5. Transparency/Compliance  

In the Senate of Economy Europe, the presidency guarantees transparency in accordance with the rules of the Senate of Economy International in all areas (political work, finances, etc.).  

The presidium of the Senate of Economy International and the presidium of the Senate of Economy Europe have the right to inspect documents, contracts, the ongoing accounting and any audit reports at any time.  

6. External appearance and brand  

The Senate of Economy Europe has the right to advertise. For this he can use the text-image mark, according to the Senate of Economy International. He must submit to the regulations of the corporate design without restrictions.  

The trademark rights remain with the rights holder Senate of Economy International without further objection to possible legal positions due to changes. The assignment commitment will be revoked immediately if the Senate of Economy Europe is no longer a subdivision of the Senate of Economy International.  

7. Admission of Members  

The board of the Senate of Economy Europe decides on the admission of members (individuals, companies, institutions, groups of countries). Memberships are to be confirmed by the board of the Senate of Economy International. The Board will establish membership and dues regulations in consultation with the Senate of Economy International.  

Statutes and implementation regulations of country organizations must be checked and approved by the Board and Executive Committee of the Senate of Economy Europe before founding or participating as a member of the Senate of Economy.  

The signatories to this founding protocol are thereby members of the Senate of Economy International and members of the Senate of Economy Europe. This membership should continue to exist in future forms of organization as far as possible.  

8. Trademark and Name Rights  

Rights to use the brand or name by groups of countries are granted by the board of the Senate of Economy Europe and can also be revoked by them. Confirmation by the Senate of Economy International Board of Directors is required.

COMPLIANCE RULES

The Senate of Economy Europe complies with applicable law at all times and expects its members and business partners to comply with applicable law as well.

01. Integrity
Corruption will not be tolerated and will be reported.

02. competition
The Senate of Economy Europe uses only lawful means with its members and in dealing with competitors and acts according to the principles of fairness.

03. Cooperation
The Senate of Economy Europe maintains a cooperative relationship with all public partners (media, associations, authorities, etc.).

04. Sustainability
The Senate of Economy Europe protects the environment within the scope of its possibilities. The consumption of resources is environmentally and health-friendly.

05. Record keeping
Business processes and all relevant accounting information are appropriately documented and accompanied by an internal control system.

06. Protection of knowledge
Company secrets are defined and not passed on to third parties. Trade secrets are not made available to the public (media). The Senate of Economy Europe respects the rights of third parties that are worthy of protection.

07. Handling of information
The Senate of Economy Europe provides information in a timely, complete, understandable, de-emotionalized and accurate manner to the best of its knowledge and belief.

08. Working Conditions
The Senate of Economy Europe does not tolerate discrimination and/or harassment of any kind. Violations will be sanctioned. The Senate of Economy Europe is committed to the health and safety of its employees. The Senate of Economy Europe treats its members and employees with respect. Dealing with each other is objective, fair and benevolent.

09. Separation of Interests
Senate of Economy Europe staff separate Senate of Economy Europe interests from private interests in their decisions. This also applies to business relationships and personnel decisions.
